Welcome to MusicSeed. By accessing or using our website, mobile applications, and related products or services (collectively referred to as the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. The term “User” refers to any individual or entity who accesses or uses the Service. If you do not accept these Terms, you may not use the Service.

1. Your Agreement with MusicSeed

1.1 You affirm that you are of legal age to enter into these Terms, or, if you are not, that you have obtained parental or guardian consent to be bound by these Terms. 1.2 If you have entered into a separate agreement with MusicSeed regarding specific services, the terms of that agreement shall take precedence in the event of any conflict with these Terms. 1.3 We may modify these Terms from time to time. When changes are made, we will update the “Date of Revision” date at the top of these Terms. In certain circumstances, we may provide you with additional notice. Unless otherwise noted, the revised or modified will be effective immediately, and your continued use of our services and software confirm your acceptance of the changes. If you do not agree to the changes, you must discontinue using the Service and, if applicable, cancel your subscription.

2. Privacy Policy

2.1 Our Privacy Policy (which is incorporated into these Terms by this reference) explains how we collect, use, share your personal data and protect your privacy when you use the Service. 3. About MusicSeed

3.1 MusicSeed is an AI-powered platform that provides music generation and playlist creation services. By inputting text, audio, or other data ("Input"), you can request MusicSeed to generate corresponding musical works or playlists ("Output"). 3.2 Our core AI functionalities currently include, but are not limited to: AI Music and AI Cover.

4. Intellectual Property

4.1 Ownership of Service and Proprietary Materials

The MusicSeed service, including our website, mobile applications, and all associated content, features, and functionality (including but not limited to text, graphics, logos, sounds, user interfaces, and software) (collectively, the "Proprietary Materials"), are owned by MusicSeed, its licensors, or other providers and are protected by international copyright, trademark, and other intellectual property laws.

4.2 License to You and Restrictions

Subject to your compliance with these Terms, MusicSeed grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service and Proprietary Materials for your personal, non-commercial use.

You agree not to, and will not permit others to:

(a) Reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform the Proprietary Materials.

(b) Use the Proprietary Materials for any commercial purpose without our express written consent.

Exceptions to these restrictions are expressly limited to:

(i) Downloading or printing a reasonable number of copies for your personal, non-commercial use, provided you retain all copyright and proprietary notices.

(ii) Sharing content with individual third parties for their personal use, provided you acknowledge MusicSeed as the source.

4.3 Ownership and License for AI-Generated Output

(a) Your Ownership. You retain ownership of the Output you create using the Service, subject to your compliance with these Terms. MusicSeed claims no ownership rights in your Output.

(b) Licenses to You. The license granted to you for the Output depends on your subscription tier:

• Personal License (Free and Basic Tiers): Output is licensed for personal, non-commercial use only. Any commercial use is expressly prohibited.
• Commercial License (Standard & Pro Tiers): For active subscribers, MusicSeed grants a worldwide, non-exclusive, royalty-free license to use the Output generated during the subscription period for any lawful purpose, including commercial use. This license is contingent upon maintaining an active subscription and terminates if the subscription is canceled, expires, or is downgraded to a non-commercial tier. (c) AI-Generated Nature. You acknowledge that the Output is generated by AI. You agree not to remove or alter any "AI-generated" identifiers and understand that the Output is provided for informational and creative purposes only, not as professional advice.

5. User Obligations and Conduct

5.1 Acceptable Use

You agree not to use the Service to upload, generate, publish, or disseminate any content that is, or to engage in any activity that is:

(a) Illegal under any applicable international, national, or local laws or regulations.

(b) Infringing upon the legal rights (such as privacy, intellectual property, and publicity rights) of others or harmful to the public interest.

(c) Constituting hate speech, inciting violence, containing pornography, promoting terrorism, or otherwise being objectionable.

(d) Intended to disrupt, damage, or overload the Service, including by introducing viruses, malicious code, or engaging in unauthorized data collection.

(e) For the purpose of developing or improving a competing product or service.

(f) Involves reverse engineering, decompiling, disassembling, or attempting to derive the source code of the Service.

5.2 Your Content and Responsibilities

(a) You retain ownership of the content you input into the Service (“Your Content”). By submitting Your Content, you grant MusicSeed a worldwide, non-exclusive, royalty-free license to use, host, and reproduce it solely for the purpose of providing and improving the Service.

(b) You are solely responsible for Your Content and affirm that you have all necessary rights and authorizations to use it. You will be liable for any claims arising from Your Content.

5.3 AI-Generated Content

(a) You acknowledge that the Service's output (“Generated Content”) is created by AI and may be marked as such. You agree not to remove or alter any “AI-generated” identifiers.

(b) The Generated Content is provided for informational and creative purposes only. It is not intended as professional advice, and MusicSeed is not responsible for your use of or reliance on it.

5.4 Content Moderation and Enforcement

MusicSeed reserves the right to use automated systems and human review to monitor content for compliance with these Terms. We may remove or block any content that we, in our sole discretion, find to be in violation. If you violate these Terms, MusicSeed may, at its sole discretion, take action including but not limited to: content removal, account warnings, temporary suspension, or permanent termination of your account. Penalties may be applied progressively based on the severity and frequency of violations. During any suspension, your access to the Service will be restricted. Any unused credits or subscriptions may be forfeited.

6. Service Usage and Management

6.1 Mobile Applications

(a) You are responsible for the device, wireless service, and equipment needed to use our Mobile Apps. Availability may vary by region and device.

(b) You may receive push notifications from us. You can manage non-essential notifications in your device or app settings, but you may not opt out of essential service-related messages.

(c) Apple App Store: If you download the App from Apple’s App Store, you acknowledge that these Terms are between you and MusicSeed, not Apple. Apple is not responsible for the App or its maintenance/support. Google Play Store: If you download the App from Google Play, your use must comply with Google’s Terms of Service. Google has no responsibility or obligation regarding the App.

6.2 Subscriptions, Cancellation, and Payment

You may subscribe to premium services as detailed in our pricing plans. You can cancel your subscription at any time, and it will remain active until the end of your current billing period. Upon cancellation, your access will revert to the free service tier. To process payments, we may collect necessary financial information, which is encrypted and handled as described in our Privacy Policy.

6.3 Refunds and Pricing

All fees for our services are clearly stated. For specific details regarding eligibility, process, and circumstances for refunds, please refer to our Refund Policy . We reserve the right to modify our prices and the features of our products/services at any time, in accordance with applicable laws.

7. Limitation of Liability and Indemnification

7.1 Disclaimer and Limitation of Liability

To the fullest extent permitted by law, MusicSeed provides the Service on an “as is” and “as available” basis. We do not guarantee that the Service will be uninterrupted, error-free, or that the Generated Content will be accurate, complete, or legally compliant. The information, materials, and software provided are without warranties of any kind. We do not guarantee the accuracy, completeness, or suitability of this content for any particular purpose. You use such materials at your own risk.

MusicSeed shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service or reliance on Generated Content. MusicSeed reserves the right to modify or discontinue any part of the Service at any time, in accordance with applicable laws, without prior notice.

7.2 Indemnification

You agree to indemnify, defend, and hold harmless MusicSeed, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable legal fees) arising from or relating to your breach of these Terms, your use of the Service, or Your Content.

8.1 Third-Party Links

Our Service may contain links to third-party websites or services that are not owned or controlled by MusicSeed. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You access and use such links at your own risk.

8.2 Governing Law
